Welcome to Wandah. These Terms & Conditions (“Terms”) govern your access to and use of our website, products, and services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please discontinue use of the Services.

1. About These Terms and the Parties

1.1 Parties. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “Customer”) and Hope Innovations Inc., a Delaware corporation doing business as Wandah (“Hope Innovations,” “we,” “us,” or “our”). All references to “Wandah” in these Terms refer to Hope Innovations Inc. as the contracting party.

1.2 Acceptance. By visiting our website, creating an account, placing an order, or otherwise using our products or Services, you agree to be bound by these Terms and our Privacy Policy and Consumer Health Data Privacy Policy, each of which is incorporated by reference. If you do not agree to these Terms, do not use the Services.

1.3 Acceptance Mechanism. Your agreement to these Terms is confirmed when you check the “I agree to the Terms of Service” box during account creation or checkout or when you otherwise use the Services after receiving reasonable notice of these Terms. You must affirmatively accept these Terms to complete a purchase. Mere browsing of the website, without creating an account, placing an order, or otherwise using the Services after receiving reasonable notice of these Terms, does not constitute acceptance of these Terms.

1.4 About Our Product. Hope Innovations manufactures and sells the Wandah vaginal medication applicator, a reusable silicone personal care device designed to assist with the application of vaginal medications.

2. Eligibility

2.1 Age Requirement. You must be at least 18 years of age to use the Services or purchase our products. By using the Services, you represent and warrant that you are at least 18 years of age.

2.2 Legal Capacity. You represent and warrant that you have the legal capacity to enter into a binding agreement and that you are not prohibited from purchasing or using our products under applicable law.

2.3 Healthcare Providers. Healthcare provider purchases are addressed in Section 15.

3. Medical Disclaimer

3.1 Not Medical Advice. The information provided through the Services, including product descriptions, educational content, and other materials, is for general informational purposes only and does not constitute medical advice, diagnosis, treatment, or any other professional healthcare service. Hope Innovations is not a healthcare provider and does not provide medical care.

3.2 Consult Your Healthcare Provider. Before using any vaginal medication applicator or any other medical or personal care device, you should consult with a licensed healthcare provider who is familiar with your individual medical history and needs. This is particularly important if you are pregnant, nursing, have a history of pelvic floor disorders, have recently undergone surgery, or have any other health condition that may affect the safe use of this product.

3.3 No Therapeutic or Efficacy Claims. Nothing on the website or in our marketing materials constitutes a representation or warranty that the Wandah device will treat, cure, prevent, or mitigate any disease or medical condition. The Wandah device is a delivery tool designed to assist with the application of medications that are separately prescribed or recommended by a licensed healthcare provider.

3.4 Emergency Situations. If you are experiencing a medical emergency, call 911 or your local emergency services immediately. Do not rely on the website or our customer support for emergency medical assistance.

3.5 Product Use Restrictions. Do not use the Wandah device if you have been advised by a healthcare provider not to use vaginal applicators. Discontinue use and consult your healthcare provider if you experience pain, discomfort, irritation, or any other adverse reaction. Follow all instructions included in the product packaging.

4. Product Use and Safety

4.1 Instructions for Use. You agree to use the Wandah device only in accordance with the instructions for use included with the product and available through the Services. Misuse of the product, including use inconsistent with the instructions for use, may result in injury.

4.2 Cleaning and Maintenance. You agree to clean and maintain the Wandah device in accordance with the instructions for use. Failure to properly clean the device may create a risk of infection or other adverse health outcomes.

4.3 Not for Resale Without Authorization. You may not resell, redistribute, or repackage the Wandah device without prior written authorization from Hope Innovations.

4.4 Inherent Risks. You acknowledge that, as with any personal care or medical device, the use of the Wandah device carries certain inherent risks. Hope Innovations has designed the Wandah device to minimize these risks when the device is used as directed. You agree to follow all safety instructions and to consult your healthcare provider with any questions about whether this product is appropriate for your individual circumstances.

5. Orders, Payments, and Billing

5.1 Order Acceptance. Your placement of an order constitutes an offer to purchase. All orders are subject to acceptance by Hope Innovations. We reserve the right to refuse or cancel any order for any reason, including product availability, errors in product or pricing information, or suspected fraud or policy violations. If we cancel your order after payment has been processed, we will issue a full refund to your original payment method within ten (10) business days.

5.2 Pricing. Prices for our products are displayed through the Services and are subject to change without prior notice. However, price changes will not apply to orders that have already been confirmed. The price applicable to your order is the price displayed at the time you complete checkout. All prices are listed in U.S. dollars unless otherwise stated.

5.3 Payment. We accept the payment methods listed through the Services. By submitting a payment, you represent that you are authorized to use the payment method provided. All payments are processed by our third-party payment processor. Hope Innovations does not store full payment card numbers.

5.4 Taxes. You are responsible for all applicable sales taxes, use taxes, and other governmental charges associated with your purchase. We will collect and remit sales tax as required by applicable law.

5.5 Billing Errors. If you believe there has been an error in billing, please contact us at hello@wandah.co within 30 days of the charge. We will investigate and resolve billing disputes promptly.

5.6 Shipping Delays. We will ship your order within the time stated through the Services, or if no time is stated, within 30 days of receiving your confirmed order. If we are unable to ship within the applicable timeframe, we will notify you promptly, provide a revised estimated shipping date.

6. Shipping and Risk of Loss

6.1 Shipping. We ship to addresses within the United States. Shipping options, carriers, and estimated delivery times are described through the Services. Estimated delivery times are not guaranteed and may vary based on carrier performance and other factors outside our control.

6.2 Risk of Loss and Title. Title to products and risk of loss transfer to you upon delivery of the product to the carrier at our shipping facility (F.O.B. Origin). Once a product has been tendered to the carrier, Hope Innovations is not responsible for delays, damage, or loss caused by the carrier, except as expressly stated in Section 6.3.

6.3 Lost or Damaged Shipments. If your order is lost or damaged in transit, please contact us at hello@wandah.co within 30 days of the estimated delivery date. We will work with you and the carrier to investigate the claim. If the carrier confirms that the shipment was lost or damaged, we will, at our election, replace the product at no charge within 10 business days after the conclusion of the carrier's investigation.

6.4 Incorrect Address. You are responsible for providing a complete and accurate shipping address. Hope Innovations is not responsible for orders that are undeliverable or delayed due to an incorrect or incomplete address provided by you.

6.5 Carrier Delays. We are not responsible for delays caused by the carrier, customs, weather events, or other circumstances outside our reasonable control.

7. Returns and Refunds

Our return, replacement, and refund policies are set forth in our Refund and Replacement Policy, which is incorporated by reference. In the event of a conflict between these Terms and the Refund and Replacement Policy, the Refund and Replacement Policy controls with respect to returns, replacements, and refunds.

8. Intellectual Property

8.1 Our Intellectual Property. All content on the website, including text, images, graphics, logos, product designs, and other materials, is owned by or licensed to Hope Innovations and is protected by applicable copyright, trademark, patent, and other intellectual property laws. You may not use, reproduce, distribute, modify, or create derivative works of any content from the Services without our prior written consent.

8.2 Trademarks. “Wandah” and associated logos are trademarks of Hope Innovations Inc. You may not use our trademarks without our prior written consent.

8.3 License to Use Services. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial purposes in accordance with these Terms.

8.4 User Content. If you submit reviews, comments, or other content through the Services, you grant Hope Innovations a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, reproduce, modify, publish, and distribute that content in connection with our business. You represent that you own or have the right to submit such content and that it does not infringe any third-party rights.

9. User Conduct

You agree not to:

  • Use the Services for any unlawful purpose.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Attempt to gain unauthorized access to any portion of the Services or our systems.
  • Interfere with or disrupt the operation of the Services.
  • Use automated means to access or scrape the Services without our prior written consent.
  • Submit false or misleading information in connection with a replacement, refund, or other customer support claim.

10. Third-Party Links and Services

The Services may contain links to third-party websites or services. These links are provided for your convenience only. Hope Innovations does not endorse and is not responsible for the content, products, or practices of any third-party websites or services. Your use of third-party websites is governed by the terms and policies of those websites.

11. Disclaimer of Warranties

11.1 General Disclaimer. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

11.2 No Warranty on Service Content. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11.3 Non-Disclaimable Rights. NOTHING IN THESE TERMS EXCLUDES, LIMITS, OR MODIFIES ANY WARRANTY, RIGHT, OR REMEDY THAT CANNOT BE EXCLUDED, LIMITED, OR MODIFIED UNDER APPLICABLE LAW.

12. No Separate Product Warranty

Hope Innovations does not offer any separate written product warranty for the Wandah device unless we expressly state otherwise in writing. Products are subject only to the warranties, rights, and remedies that cannot be disclaimed under applicable law.

13. Limitation of Liability

13.1 Exclusion of Consequential Damages. TO THE EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL HOPE INNOVATIONS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY, WHETHER CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF HOPE INNOVATIONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.2 Cap on Liability. TO THE EXTENT PERMITTED BY APPLICABLE LAW, HOPE INNOVATIONS' TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO HOPE INNOVATIONS FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).

13.3 Exceptions to Limitation. NOTWITHSTANDING THE FOREGOING, THE LIMITATIONS IN SECTIONS 13.1 AND 13.2 DO NOT APPLY TO:

  • Claims arising from Hope Innovations' gross negligence or willful misconduct.
  • Claims arising from Hope Innovations' fraud or fraudulent misrepresentation.
  • Claims that cannot be limited or excluded under applicable law, including claims for personal injury caused by a defective product to the extent such limitation is prohibited under applicable state law.
  • Hope Innovations' indemnification obligations under Section 14.3.
  • Either party's obligations of confidentiality.

13.4 Essential Basis. YOU ACKNOWLEDGE THAT THE LIMITATIONS OF LIABILITY IN THIS SECTION 13 REFLECT A REASONABLE ALLOCATION OF RISK AND ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND HOPE INNOVATIONS. HOPE INNOVATIONS WOULD NOT PROVIDE THE SERVICES ON THE TERMS SET FORTH HEREIN WITHOUT THESE LIMITATIONS.

13.5 State Law. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. TO THE EXTENT SUCH LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

14. Indemnification

14.1 Indemnification by You. You agree to defend, indemnify, and hold harmless Hope Innovations and its officers, directors, employees, agents, successors, and assigns from and against any and all claims, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

  • Your use of the Services in violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Your infringement of any third-party intellectual property, privacy, or other rights.
  • Any content you submit through the Services.
  • Your fraud, willful misconduct, or gross negligence.

14.2 Hope Innovations' Own Conduct. Notwithstanding Section 14.1, your indemnification obligation does not extend to any claims, damages, losses, costs, or expenses arising out of or attributable to Hope Innovations' own negligence, willful misconduct, fraud, or breach of these Terms.

14.3 Indemnification by Hope Innovations. Hope Innovations agrees to defend, indemnify, and hold harmless you from and against any third-party claims arising directly from Hope Innovations' gross negligence, willful misconduct, or fraud in connection with the manufacture or sale of the Device.

14.4 Indemnification Procedure. The party seeking indemnification will promptly notify the indemnifying party in writing of the claim, give the indemnifying party sole control of the defense and settlement of the claim, provided that the indemnifying party may not settle any claim that imposes liability or obligations on the indemnified party without the indemnified party's prior written consent, and provide reasonable cooperation in the defense of the claim at the indemnifying party's expense.

15. Healthcare Provider Purchases

Hope Innovations may sell products directly to or through licensed healthcare providers or healthcare organizations in the future. If Hope Innovations offers those sales, these Terms will be updated to include any healthcare provider, institutional, resale, distribution, regulatory, or other terms applicable to those purchases.

16. Force Majeure

Hope Innovations will not be liable for any failure or delay in performance under these Terms to the extent such failure or delay is caused by circumstances beyond Hope Innovations' reasonable control, including acts of God, natural disasters, fires, floods, earthquakes, epidemics or pandemics, war, terrorism, civil unrest, government actions or regulations, labor disputes or strikes, supply chain disruptions, internet or telecommunications outages, or failures of third-party service providers, including shipping carriers. In the event of a force majeure event, Hope Innovations will notify you as soon as reasonably practicable, use commercially reasonable efforts to resume performance, and offer you the option to cancel your order and receive a full refund if the delay exceeds 30 days.

17. Dispute Resolution, Binding Arbitration, and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND YOUR RIGHT TO A JURY TRIAL.

17.1 Informal Resolution First. Before initiating any formal dispute resolution proceeding, you agree to contact Hope Innovations at hello@wandah.co and provide a written description of your dispute, the relief you seek, and your contact information. Hope Innovations will attempt to resolve the dispute informally within 30 days after receiving your notice. If the dispute is not resolved within 30 days, either party may proceed to arbitration as described below.

17.2 Binding Arbitration. Except as provided in Section 17.5, any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, the Consumer Health Data Privacy Policy, the Refund and Replacement Policy, or your use of the Services or purchase of our products (“Dispute”) that is not resolved through informal resolution will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration will be conducted by a single arbitrator. The arbitration will take place in Polk County, Iowa, or, if you prefer and the AAA rules permit, by telephone or video conference.

17.3 Arbitration Fees. Filing fees and arbitrator compensation will be allocated in accordance with the AAA Consumer Arbitration Rules. If you cannot afford the filing fee, Hope Innovations will consider good-faith requests to cover or reduce your filing fees.

17.4 Class Action Waiver. YOU AND HOPE INNOVATIONS EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If a court or arbitrator finds that this class action waiver is unenforceable for any reason, then the arbitration agreement in Section 17.2 will not apply to that Dispute, and the Dispute will proceed in court subject to Section 17.6.

17.5 Exceptions to Arbitration. Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within that court's jurisdiction. Either party may also seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights, pending arbitration.

17.6 Governing Law and Venue. These Terms are governed by the laws of the State of Iowa, without regard to its conflict-of-law principles. For any Dispute that is not subject to arbitration under Section 17.2, or if the arbitration agreement is found unenforceable, you and Hope Innovations consent to the exclusive jurisdiction of the state and federal courts located in Polk County, Iowa, and you waive any objection to the exercise of personal jurisdiction by such courts.

17.7 Time Limitation on Claims. ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES MUST BE FILED WITHIN ONE (1) YEAR AFTER THE CLAIM OR CAUSE OF ACTION ARISES, OR IT WILL BE PERMANENTLY BARRED, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

Notwithstanding the foregoing, this one-year limitation does not apply to claims for personal injury arising from a defective product, which are subject to the applicable statute of limitations under state law.

18. Changes to These Terms

18.1 Right to Modify. Hope Innovations reserves the right to modify these Terms at any time. We will notify you of material changes by sending an email to the address associated with your account at least 30 days before the changes take effect and posting a prominent notice through the Services identifying the nature of the change and its effective date.

18.2 Notice of Material Changes. For material changes, including changes to the arbitration provision, limitation of liability, product disclaimers, or governing law, we will provide notice of the updated Terms before the changes take effect. Unless a longer notice period is required by applicable law, material changes will become effective on the effective date stated in the notice.

18.3 Non-Material Changes. For non-material changes, including corrections of typographical errors and clarifications that do not affect your rights, your continued use of the Services after the effective date of the change constitutes acceptance of the updated Terms.

18.4 Rejection of Changes. If you do not agree to a material change, you may close your account and discontinue use of the Services before the effective date of the change. Continued use after the effective date stated in the notice constitutes your acceptance of the updated Terms.

19. General Provisions

19.1 Entire Agreement. These Terms, together with the Privacy Policy, Consumer Health Data Privacy Policy, Refund and Replacement Policy, and any other policies or agreements incorporated by reference, constitute the entire agreement between you and Hope Innovations with respect to the subject matter of these Terms and supersede all prior and contemporaneous agreements, understandings, and representations.

19.2 Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will continue in full force and effect.

19.3 Waiver. Hope Innovations' failure to enforce any provision of these Terms will not constitute a waiver of its right to enforce that provision in the future.

19.4 Assignment. You may not assign or transfer your rights or obligations under these Terms without Hope Innovations' prior written consent. Hope Innovations may assign these Terms in connection with a merger, acquisition, sale of assets, or other business combination without your consent, provided that the acquiring entity assumes Hope Innovations' obligations under these Terms.

19.5 No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights.

19.6 Notices. Notices to Hope Innovations under these Terms should be sent to: Hope Innovations Inc., 222 Broadway Street, Suite 2, Audubon, IA 50025, Email: hello@wandah.co. Notices to you will be sent to the email address associated with your account.

19.7 Electronic Communications. You consent to receive communications from Hope Innovations electronically. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

19.8 Headings. Section headings are for convenience only and do not affect the interpretation of these Terms.
